What is a Swedish shelf company?

A Swedish shelf company is a pre-registered aktiebolag (AB) with a valid organisationsnummer. It has been incorporated but never used commercially — meaning zero debt, zero tax history, and zero commercial activity. It’s ready to use the same day you take it over — no waiting at Bolagsverket.

Is a shelf company worth the extra cost vs. incorporation?

For anyone who values time, yes. A standard incorporation still involves registration fees, capital deposit logistics, and weeks of waiting at Bolagsverket. A shelf company gives you an operational entity the same day. For deal-dependent timelines, SPV needs, or fast-moving projects, the time saved far outweighs the premium.

Are there any hidden liabilities?

No. There is no requirement that you personally have a Swedish personnummer. Board composition follows EU/EEA residency rules — see the board requirements question below.

What are the requirements for the board?

At least one board member is required. With two or more board members, one must be appointed chairman. If chairman and board members together are fewer than three, at least one deputy board member (varamedlem) is required. Minimum 50% of the chairman + board members must reside in the EU/EEA, and the same applies to deputy board members. The CEO, if appointed, must also reside in the EU/EEA.

When is a delgivningsmottagare required?

Only when none of the chairman, board members, or CEO is resident in Sweden. In that case, a delgivningsmottagare (authorised recipient) with a Swedish residential address must be appointed to receive official mail on the company’s behalf. Otherwise the appointment is optional.
